  1.    ELECTRONIC END USER LICENSE AGREEMENT
  2.    FOR RESOURCE TUNER version 1.95

  4.    NOTICE TO USER: CAREFULLY READ THE FOLLOWING LEGAL 
  5.    AGREEMENT. BY INSTALLING THIS SOFTWARE YOU ACCEPT 
  6.    ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT.
  7.  
  8.    This Heaventools Software ("Heaventools") End User License Agreement 
  9.    accompanies the Heaventools Resource Tuner product and related 
  10.    explanatory materials ("SOFTWARE"). The term "SOFTWARE" also shall 
  11.    include any upgrades, modified versions or updates of the Software 
  12.    licensed to you by Heaventools. By installing and/or using the enclosed, 
  13.    attached, or about-to-be-installed software you are agreeing to be bound 
  14.    by the terms of this End User License Agreement. If you do not agree to 
  15.    the terms of this End User License Agreement, promptly stop the 
  16.    installation process, cease to use SOFTWARE, and erase this SOFTWARE 
  17.    and all of its associated files from your system.
  18.  
  19.   1. LICENSE GRANT.
  20.  
  21.     Heaventools grants you a license to use one copy of the version
  22.     of this SOFTWARE on any one hardware product for as many licenses
  23.     as you purchase. "You" means the company, entity or individual
  24.     whose funds are used to pay the license fee. "Use" means storing,
  25.     loading, installing, executing or displaying the SOFTWARE. If you
  26.     install the SOFTWARE onto a multi-user platform or network, each
  27.     and every individual user of the SOFTWARE must be licensed
  28.     separately or be covered by a site license.
  29.     You may not modify the SOFTWARE or disable any licensing or
  30.     control features of the SOFTWARE except as an intended part of
  31.     the SOFTWARE's programming features. When you first obtain a copy
  32.     of the SOFTWARE, you are granted an evaluation period of not more
  33.     than 30 days, after which time you must pay for the SOFTWARE
  34.     according to the terms and prices discussed in the SOFTWARE's
  35.     documentation, or you must remove the SOFTWARE from your computer.
  36.     This license is not transferable to any other hardware product or
  37.     other company, entity, or individual. You are expected to use the
  38.     SOFTWARE on your system and to thoroughly evaluate its usefulness
  39.     and functionality before making a purchase.
  40.     This "try before you buy" approach is the ultimate guarantee that
  41.     the SOFTWARE will perform to your satisfaction.

  43.     Any use of the SOFTWARE which is illegal under international or
  44.     local law is forbidden by this licence. Any such action is the sole
  45.     responsibility of the person committing the action.
  46.  
  47.   2. OWNERSHIP.
  48.  
  49.     The SOFTWARE is owned and copyrighted by Heaventools Software.
  50.     Your license confers no title or ownership in the SOFTWARE and
  51.     should not be construed as a sale of any right in the SOFTWARE.

  53.   3. COPYRIGHT.
  54.  
  55.     The SOFTWARE is protected by United States copyright law and
  56.     international treaty provisions. You acknowledge that no title to
  57.     the intellectual property in the SOFTWARE is transferred to you.
  58.     You further acknowledge that title and full ownership rights to
  59.     the SOFTWARE will remain the exclusive property of Heaventools and
  60.     you will not acquire any rights to the SOFTWARE except as expressly
  61.     set forth in this license.
  62.     You agree that any copies of the SOFTWARE will contain the same
  63.     proprietary notices which appear on and in the SOFTWARE.
  64.  
  65.   4. RESTRICTIONS.
  66.  
  67.     You agree that you will not attempt to reverse compile, modify,
  68.     adapt, translate, copy, emulate, clone, disassemble the SOFTWARE
  69.     in whole or in part, or otherwise attempt to discover the source
  70.     code of the SOFTWARE (except and solely to the extent an
  71.     applicable statute expressly and specifically prohibits such
  72.     restrictions).
  73.     You may not sublicense, rent, lease, resell for profit or otherwise
  74.     dispose of the SOFTWARE without our written permission. You may not
  75.     grant a security interest in, or otherwise transfer rights to the
  76.     SOFTWARE.  You may not remove any proprietary notices or labels on
  77.     the SOFTWARE.
  78.     Usage of the SOFTWARE may violate the copyright of the modified
  79.     material. It is your responsibility to respect all legal aspects.
  80.     You don't have the right to release to public any programs which
  81.     were altered using the SOFTWARE, if not expressively granted by the
  82.     respective authors.

  84.   5. DISCLAIMER OF WARRANTY.
  85.  
  86.     THIS SOFTWARE AND THE ACCOMPANYING FILES ARE PROVIDED
  87.     ON AN "AS IS" BASIS AND YOU ASSUME FULL RESPONSIBILITY
  88.     FOR DETERMINING THE SUITABILITY OF THE PROGRAM AND FOR
  89.     RESULTS OBTAINED. HEAVENTOOLS DISCLAIMS ALL WARRANTIES
  90.     RELATING TO THIS SOFTWARE, WHETHER EXPRESSED OR
  91.     IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED
  92.     WARRANTIES OF MERCHANTABILITY, FREE OF DEFECTS, FITNESS 
  93.     FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD
  94.     PARTY RIGHTS. NEITHER HEAVENTOOLS NOR ANYONE ELSE WHO
  95.     HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR 
  96.     DELIVERY OF THIS SOFTWARE SHALL BE LIABLE FOR ANY INDIRECT,
  97.     CONSEQUENTIAL, SPECIAL, OR INCIDENTAL DAMAGES (INCLUDING,
  98.     WITHOUT LIMITATIONS, DAMAGES FOR LOSS OF BUSINESS PROFITS,
  99.     BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, 
  100.     DATA LOSS, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF
  101.     THE USE OR INABILITY TO USE SUCH SOFTWARE, EVEN IF 
  102.     HEAVENTOOLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  103.     DAMAGES OR CLAIMS. THE PERSON USING THE SOFTWARE BEARS
  104.     ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE
  105.     SOFTWARE. SHOULD THE SOFTWARE PROVE DEFECTIVE IN ANY
  106.     RESPECT, YOU AND NOT HEAVENTOOLS OR ITS SUPPLIERS ASSUME
  107.     THE ENTIRE COST OF ANY SERVICE AND REPAIR.
  108.  
  109.     SOME JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION
  110.     OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE
  111.     LIMITATIONS OR EXCLUSION MAY NOT APPLY TO YOU TO THE
  112.     EXTENT THAT LIABILITY IS BY LAW INCAPABLE OF EXCLUSION OR
  113.     RESTRICTION.

  115.     IN NO EVENT SHALL ANY THEORY OF LIABILITY EXCEED THE
  116.     LICENSE FEE PAID TO HEAVENTOOLS.
  117.  
  118.   6. SEVERABILITY. 
  119.  
  120.     In the event of invalidity of any provision of this license, the 
  121.     parties agree that such invalidity shall not affect the validity of the
  122.     remaining portions of this license.

  124.   7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.

  126.     IN NO EVENT SHALL HEAVENTOOLS OR ITS SUPPLIERS BE LIABLE
  127.     TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR
  128.     INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY,
  129.     PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF HEAVENTOOLS
  130.     HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO
  131.     EVENT WILL HEAVENTOOLS' LIABILITY FOR ANY CLAIM, WHETHER IN
  132.     CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED
  133.     THE LICENSE FEE PAID BY YOU, IF ANY. HEAVENTOOLS SHALL HAVE
  134.     NO OBLIGATION TO YOU WITH RESPECT TO ANY CLAIM OF
  135.     INFRINGEMENT BASED UPON YOUR USE OF THE SOFTWARE IN 
  136.     COMBINATION, OPERATION OR OTHERWISE WITH THE DATA OR
  137.     MATERIALS NOT SUPPLIED BY HEAVENTOOLS.

  139.   8. TERMINATION.
  140.  
  141.     This Agreement and the license granted hereunder will terminate
  142.     automatically if you fail to comply with the limitations described
  143.     herein. Upon termination, you must destroy all copies of the SOFTWARE
  144.     and documentation.

  146.   9. ENTIRE AGREEMENT.
  147.  
  148.     This is the entire agreement between you and Heaventools which
  149.     supersedes any prior agreement or understanding, whether written or
  150.     oral, relating to the subject matter of this license.
  151.  
  152.  10. RESERVED RIGHTS.
  153.  
  154.     All rights not expressly granted here are reserved to Heaventools
  155.     and/or the respective authors (listed either in the documentation
  156.     or within the SOFTWARE).
  157.  
  158.     Heaventools reserves the right to make exceptions to any of these
  159.     conditions, or alter these conditions, at any time. However, you
  160.     may always use these conditions instead of any altered version if
  161.     you prefer (note that this licence explicitly applies only to one
  162.     version of the program; therefore, if Heaventools Software makes new
  163.     conditions in connection with a future version, you do not then have
  164.     the right to apply these conditions to that version instead).
